To ensure that control based policies, procedures and authority matrices suiting a UAE PJSC specific business needs are designed and implemented according to the governance framework and all applicable laws.
The job holder will be required to work under pressure throughout the development phase in coordination with various departments at holding level as well as all subsidiaries.

Functional
• Review (and where required, co-develop) Delegation of Authority DOA matrix defining the limits of authority for various decision points, review any suggestions for changes to the proposed DOA’s, agree and finalize the revised DOA with the respective process owner and ensure that they adhere to the overall governance framework for holding and subsidiary companies.
• Review (and where required, co-develop) and articulate policies, procedures and terms of references with an aim to assess adequacy of internal controls ensuring alignment with the overall corporate governance framework.
• Provide Governance advisory services to the management ensuring the alignment with the in-effect Governance Framework.
• Provide assistance and advice to the process owners in the implementation of approved policies, processes and authority matrices.
• Assess new proposals/ initiatives undertaken from Governance perspective and advising senior management on potential risks with the proposed process along with mitigating controls related to these initiatives.
• Analyze / identify potential control gaps and recommend solutions to address such gaps.
• Coordinate with the process owners to collect periodic financial reports (in a pre-defined template) and submit the same to the senior management in a timely manner. • Follow up on timely adherence by the process owner on the instructions of senior management.
• Develop Governance program and related activities and suggest appropriate steps to improve its effectiveness.
• Coordinate with the Internal Audit Department to understand the identified risks and address those risks appropriately
• Provide support to Company Secretary on all PJSC matters, including PJSC Board and Committee matters
• Support Boards of subsidiaries where required
• Draft Board and Committee resolutions and POAs, being able to interpret all holding and subsidiary MoAs and AoAs and other general documentation required for governance purposes.
Financial
• Prepare and present inputs related to organizational/ departmental/ project budgets to the next reporting line.
• Manage and control the actual cost verses budget on periodic basis and provide financial reports/data related to the department/ divisional/ project’s financial performance.
Processes
• Develop and implement policies, procedures and processes for the respective function/department and ensure reviewing and keeping the existing ones updated as part of the ‘continuous process improvement’.
• Manage implementation of relevant electronic systems to bring efficiency and effectiveness existing processes.
• Set objectives/KPIs/ milestones for the respective department/ function and conduct appraisals for direct reportees on Electronic Performance Management System.
Learning & Development
• Ensure that team members are provided learning and career development opportunities by identifying successors within the team, preparing them for the next accountable roles and recommending them for external trainings whenever required in consultation with HR Department.
• Ensure that productivity and service delivery of the department is improved on continuous basis by keeping team members motivated and retained.
• Any other duties as may be reasonably requested by the Management Team
Experiecne
• Minimum 10 years of relevant experience in a Governance or Company Secretary position (preferably in a PJSC)
• At least 5 years of hands on experience in the development of policies, procedures and delegation of authority matrices and advising on the design and operating effectiveness of Governance and Control Framework in a UAE PJSC
• Desired required Level would be Level 4 as per Competency Framework
