Primary Job Purpose
· The GC will be responsible for the effective and efficient management of a Legal and compliance department, the provision of legal advisory services, and ensuring effective management of legal, regulatory and contractual risks and perform legal tasks as required by business needs.
Working Relationships
· All departments across the business and operational locations. You will progressively create a team around you to provide support to the management, the business units and the board.
· The GC will report directly to the Managing Director as well as the Board of Directors.
Accountabilities
· Manage the activities of the Legal function through close supervision and ensure excellent support to all stakeholders.
· Contracts and Negotiations
o Oversee negotiations of all types of contracts (Supply Contracts, Service Contracts, Employment Contracts, Property (lease/freehold) Contracts etc.) in the various jurisdictions in which the company operates – including Central Asia, Middle East, Europe, Asia, etc.), ensuring compliance with existing contracts.
o Evaluate contracts, risks and insurance requirements for all RFQs, RFPs, bids, and tenders.
o Be a resource person in tenders and contract negotiations, including risk assessment and improvement processes
· Litigation
o Review progress of outstanding litigation and liaise with and manage internal and external lawyers.
o Managing and coordinating the Group’s approach towards litigation/other proceedings to which the company is party or potentially party.
o Build and manage relationships with internal and external stakeholders ensuring a positive brand for group companies.
o Inculcate relationships with external counsel for areas where specialist legal advice would be required.
o Design and implement internal controls, policies and procedures to assure compliance with applicable local, state and federal laws and regulations and third-party guidelines.
o Manage all legal aspects of governmental contractual engagement in relation to US governmental/military fuel and logistics contracts.
o Ensure that the CEO and the heads of business units are always apprised of developments within their functional remit.
o Acts as a resource on the interpretation of existing or proposed local, state or relevant laws and regulations, drawing on the expertise of locally authorized counsel in each jurisdiction.
o Provide professional and strategic advice to the CEO and senior management.
o Manage the resources of the legal team and directly manage any required recruitments.
o Be responsible for the company’s secretarial corporate tasks and function, creating a complete and reliable centralised data base containing all key corporate and contractual documents and agreements.
o Overseeing production of legal output, managing the corporate legal documentation and procedures of the various team members.
o Identifying legal risks and proposing solutions to mitigate, always bearing in mind the commercial aspects of situations.
o Escalating identified mission critical risks to the CEO
o Managing and advising on contentious and litigious issues as required.
o Working closely with all departments, providing quality leadership and training experiences to promote ethical and compliant environment.
o Support the Board of Directors and ensure proper documentation of corporate life (corporate secretarial duties).
المهارات
· Qualified from a Common Law jurisdiction (awarded in either UK, US, NZ, Australia, Hong Kong, India, Singapore, South Africa etc.).
· Minimum 6 - 8 years’ experience as a qualified lawyer in a reputable law firm and/or in a large company involved in commodity trading (preferably oil related).
· Recent experience within Middle Eastern region.
· Experience across a breadth of fields like:
o Transactional work (negotiation of trade contracts and/or commodity trade finance contracts).
o Knowledge of DMCC and FZE regulatory framework.
o Compliance (OFAC, US Government Contracts – FAR provisions, FCPA, UKBA etc.), Corporate secretarial duties, Employment Issues, Litigation, etc.
o Contractual standards such as FIDIC
· Must demonstrate the ability to multitask and work in a high-pressure environment.
· Must be a team player, business savvy and rapidly establish herself/himself as an integral part of the team favourably appreciated by the business lines.
· Must be an achiever, who sees the opportunity, and takes up the challenge, to create a first class legal and compliance team in an important group.
· Must be detail orientated.
· Should be highly responsive to all internal stakeholders and must present solutions to pertinent problems, not just identify issues without offering solutions, hindering business function.
· The ability and desire to handle a diverse workload and multi-task are crucial to succeed in this position as are business drive, ability to work in a fast-paced environment, flexible and “hands on” approach.
· Excellent written and verbal communication skills.
· The candidate will have both corporate and commercial law experience, working within a respected Law Firm and/or renowned commodity trading house or oil company.
· The candidate must demonstrate a high degree of initiative, be interested in the challenge of creating a function that has not existed as a formal in-house department during recent years, within the Group.
· Must be a self-starter, excited by the challenge of building up a team. Resources will be allocated depending on your ability to convince the management and the board of your added value to the business.
· Your prime working language will be English, and it is expected that you would demonstrate a high degree of proficiency in written and spoken legal English.
· Desired proficiencies
o Proficiency in modern IT system (including, without limitation, secured cloud databases, virtual data rooms, and document management systems).
o Second and third language competency would be beneficial - Arabic, Central Asian languages, French, or Russian.
· Whilst International Travel may be required from time to time, the role REQUIRES that the GC must reside full-time in Dubai (along with family, where relevant) and must be committed to reside in Dubai for the foreseeable future.
Remuneration
While remuneration offered will depend on your specific experience, background, and accomplishments, it may be presumed that the package will be in line with upper end market standards in Dubai, and will also include the possibility to realize a generous discretionary bonus dependant on your performance and achievement.
